These terms apply between you and Occam Edge, Inc. or its applicable affiliate (“Occam Edge”) when you use our website, app, Occam Intelligence, Slack integration or MCP services. By using the platform or accepting these terms, you agree to them. If acting for an organization, you must have authority to bind that organization.
Using the platform
Occam Edge provides infrastructure-project intelligence, comparisons, assessments and reports for business decision support. Subject to these terms and your service agreement, you receive a limited, revocable, non-transferable, non-sublicensable right to use your authorized services and projects for internal business purposes.
You are responsible for activity under your account, accurate account information and keeping credentials private. Named-user credentials are for that person only. Report suspected unauthorized access promptly.
Do not bypass permissions, scrape or redistribute licensed data, reverse engineer our technology, benchmark the platform for competitive purposes, introduce malware or interfere with the service.
Submit only content you are authorized to share. Do not submit unlawful, infringing, defamatory or malicious content, payment-card data, protected health information, government identifiers, authentication secrets, classified information or export-controlled material. Credentials belong only in the designated authentication flow. Separate agreements do not override restrictions applicable to an integration.
Content and reports
You retain ownership of content you submit to Occam, including questions, assessment inputs and supporting materials. You are responsible for its accuracy and completeness for the intended use, your rights to share it, and compliance with applicable confidentiality, privacy, security and regulatory obligations. Unless an applicable signed agreement or non-waivable law requires otherwise, Occam Edge is not responsible for claims arising from your unauthorized submission of confidential or restricted content.
You grant Occam Edge a limited, non-exclusive, worldwide license to host, copy, process, transmit, analyze and display your content solely as reasonably necessary to provide requested services, maintain and secure the platform, comply with law and enforce these terms. Our Privacy Policy explains data use and your controls.
Occam Edge and its licensors retain ownership of the platform, proprietary datasets, software, methods, workflows and templates. Your access does not transfer that ownership. Do not copy, modify, distribute, sell, sublicense or create derivative works from our proprietary technology or datasets except as permitted by your license or in writing. You grant us a perpetual, irrevocable, worldwide, royalty-free right to use feedback without restriction or compensation, without disclosing your confidential information.
Outputs are informational decision support, not legal, tax, accounting, investment, banking, financial, engineering, insurance or underwriting advice. Verify inputs, assumptions and results independently; do not use outputs as the sole basis for financing, investment, credit, insurance, engineering, safety or regulatory decisions. Use does not establish a fiduciary or professional-adviser relationship.
Outputs may be incomplete, inaccurate or unsuitable, particularly when inputs are incorrect or incomplete. Occam Edge does not control third-party sources and is not responsible for their accuracy, legality or availability. “Occam Edge Validated” means specified structure, consistency and evidence-coverage checks passed—not certification of facts, legal sufficiency or future project performance.
Service and liability
We use commercially reasonable administrative, technical and organizational safeguards to protect information. You remain responsible for keeping copies of materials and reports you need; the platform is not a permanent archive.
We may restrict prohibited content or suspend or terminate access when we reasonably believe there is a breach, a compromised account or material legal, security, operational or reputational risk. Suspension does not itself delete personal records. Your right to use the platform ends on termination.
To the extent permitted by law, the platform and outputs are provided “as is” and “as available.” We disclaim all express, implied and statutory warranties, including accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, availability, security and uninterrupted operation. We do not guarantee error-free results, future outcomes or suitability for specific regulatory or business requirements.
To the extent permitted by law, Occam Edge is not liable for indirect, incidental, consequential, special, exemplary, punitive or enhanced damages, including lost profits, revenue, business opportunities, data, or financing and investment losses, regardless of legal theory or whether we were advised of their possibility. Total aggregate liability relating to the platform, these terms, submitted content or outputs is limited to the greater of the amount you actually paid for platform access in the three months before the event or $100. These limits apply even if a remedy fails of its essential purpose. Non-waivable legal rights remain unaffected.
To the extent permitted by law, you agree to defend, indemnify and hold harmless Occam Edge and its officers, directors, employees, contractors, affiliates and agents against third-party claims, damages, liabilities, losses, costs and expenses, including reasonable attorneys’ fees, arising from your content, use of the platform, breach of these terms or law, violation of third-party rights, or reliance on outputs.
An applicable signed agreement controls where it directly conflicts with these terms, except for non-waivable law and integration restrictions. Obligations intended to survive termination, including intellectual property, confidentiality, disclaimers, indemnity and liability provisions, remain in effect.
We may update these terms and publish the effective date. We will notify you of material changes or request renewed acceptance where required. Continued use after an update takes effect constitutes acceptance where permitted by law.
